Terms and conditions

Last updated 15 October 2026

These terms apply to the use of Affilyflow – both as a store and as an affiliate. By creating an account, you accept the terms.

This is an English courtesy translation. The Danish version is the legally binding one; if the two differ, the Danish text applies.

1.About the service

Affilyflow is operated by Affilyflow ApS, CVR (Danish company reg. no.) 46325389, Hovedvagtsstræde 2C, 3000 Helsingør ("we", "us"). The service is an affiliate network that facilitates cooperation between webshops ("stores") and marketing partners ("affiliates"): we provide tracking, reporting, an approval flow and payout administration. We are a party to the facilitation – not to the actual transaction between the store and its customers.

2.Account and access

You must be at least 18 years old and provide correct information when you sign up. You are responsible for activity on your account and for keeping your login details secure. An account is personal to the company or person who created it.

A store accepts these terms and our privacy policy when signing up or later in the dashboard. We record which version was accepted and when. How we process information about clicks and purchases by the store's customers is set out in the privacy policy.

3.Commission and network fee

The store itself sets its program's total price per sale – as a percentage of the order amount or as a fixed amount – as well as the cookie window and other terms. The total price is what the store pays for a sale an affiliate has referred, and it covers both the affiliate's commission and our network fee. The network fee is 20% of the total price, and the affiliate's commission is the remaining 80%. A total price of 20% of the order amount thus gives 16% in commission and 4% in network fee, and a fixed price of DKK 100 gives DKK 80 in commission and DKK 20 in network fee. The affiliate receives the rate the program shows– the fee is not deducted from it. The split is shown in the store's program settings.

Commission is calculated on the order amount that the store's integration reports to us. Our WooCommerce plugin from version 1.7.0 reports the value of the items after discounts, excluding VAT and shipping; older versions of the plugin report the amount excluding VAT but including shipping. The Stripe integration and the code in our installation guides report the amount excluding VAT. The Shopify app reports the value of the items (Shopify's subtotal), so shipping is not part of the basis. If VAT is included in the store's prices, we deduct it from the amount based on the order's own VAT breakdown. If the store installs a conversion code itself, the store is responsible for ensuring that the reported amount excludes VAT.

The rate and the attribution window are locked at the time of the click: later changes to the program do not affect clicks that have already been registered.

4.Approval of sales

Every registered sale is created as pending. The store then has the program's approval period – 30, 45, 60 or 90 days, as stated in the program and locked on the sale when it is registered – to reject the sale with a reason that the affiliate can read. If that does not happen, the sale is approved automatically.

Exempt from automatic approval are sales that have been flagged for review because they look like fraud – for example a click shortly after the affiliate account was created. These are decided by the store or Affilyflow. If the buyer's email turns out to be the affiliate's own (self-referral, see §7), the sale is registered as rejected immediately, without commission or fee.

If an entire order is refunded or cancelled via our WooCommerce plugin, or the entire payment is refunded or a dispute is raised in Stripe, the related commission is rejected automatically, and the affiliate is notified. A partial refund reduces commission and network fee in the same proportion as the refunded part of the sale – in WooCommerce from plugin version 1.10.0 and in Stripe. If the commission is a fixed amount per sale, a partial refund does not change it. The order value remains unchanged, and if the refunds together cover the entire order, the sale is rejected. With other integrations – including the Shopify app – the store must itself reject or review the sale within the deadline.

Automatic rejection or reduction upon a refund or dispute also takes place after the sale has been approved. If the commission has already been paid out and the sale was approved less than 90 days ago, the difference is offset against the affiliate's next payout, and the balance may become negative. If the sale was approved more than 90 days ago and the commission has been paid out, the affiliate keeps it, and Affilyflow bears the difference. For the store, the same applies in both cases: if the sale has been invoiced, the store is credited for the refunded part. As the network's arbiter, Affilyflow may decide a sale in a dispute or in case of fraud – also after the deadline.

5.Payout

Only approved commission can be paid out; pending commission is never paid out. We pay out automatically on the first banking day of each month (weekends and Danish bank holidays are skipped) when the affiliate's approved balance is at least DKK 100 and the affiliate's bank details, master data – for Danish private individuals including their CPR number (Danish personal identification number) – and acceptance of the self-billing agreement are in place. The affiliate can also start a payout themselves when the approved balance is at least DKK 100, and can pause the automatic payout. The payout amount is calculated by our systems, and we transfer it by bank transfer to the account the affiliate has provided. For each payout, we issue a settlement statement.

If the bank details are changed, the affiliate receives a security email, and we only pay out to the new account 48 hours after the change. If the affiliate is Danish and VAT-registered, 25% VAT is added on top of the payout once the VAT number has been confirmed in the EU's VAT register VIES. For businesses in another EU country, the reverse charge applies, and no VAT is added to the payout. In the event of a specific suspicion of fraud, we may withhold a payout for up to 60 days, stating a reason.

The affiliate is responsible for correct payout details and for reporting income to the tax authorities. We report payouts to Danish private individuals to the Danish Tax Agency (Skattestyrelsen) through eIndkomst, and an annual statement is available in the affiliate's dashboard.

6.The store's balance

Stores prepay a balance from which commission and network fee are deducted when sales are approved. Prices are exclusive of VAT. Where Danish VAT must be added – for Danish stores and for EU stores without a VAT number confirmed in VIES – the VAT is also deducted from the balance and appears on the monthly invoice. Deposits to the balance are made without VAT. There is no subscription – rejected sales cost nothing. A store can see its balance, deductions and spending in its dashboard at any time.

Affilyflow may give a store credit on its balance – for example starter credit when a store account is created, or compensation. Credit is a discount on future sales: it is used for commission, network fee and any VAT in the same way as amounts paid in, but it cannot be paid out, transferred to another account or exchanged for cash. Credit is used before the store's own deposits. Starter credit is given at most once per store and is given automatically only to accounts created on store.affilyflow.com. We may change or stop the offer for new accounts; credit already given is retained.

If the cooperation ends, we refund the part of the store's own deposits that has not been used for commission, network fee and VAT. Unused credit lapses on termination.

7.Rules for promotion

Affiliates must comply with the terms and channel restrictions set by each program, as well as applicable law – including the requirement in the Danish Marketing Practices Act (markedsføringsloven) for clear labelling of advertising. The following is not permitted and may result in blocking:

  • Artificial clicks or sales, including clicks without a real user behind them
  • Cookie stuffing or other manipulation of attribution
  • Self-referral – purchases through your own affiliate links with a view to a discount
  • Misleading marketing or promotion in breach of the program's terms

A blocked affiliate cannot earn commission, regardless of how a sale is registered.

The store's invitations.A store may only use Affilyflow's invitation feature to send its program to recipients who have themselves asked to receive it. The store is responsible for having that request and must be able to document it. The store shall indemnify Affilyflow against claims, fines and costs arising from invitations sent in breach of this, including under section 10 of the Danish Marketing Practices Act and the data protection rules. In the event of misuse, we may disable the feature for the store.

8.Intellectual property rights

Affilyflow owns the platform, including software, design, trademarks and content. Stores and affiliates receive a non-exclusive, revocable right to use the platform and the tracking links it issues for as long as the account is active.

9.Termination

Either party may terminate the cooperation without notice. We may close accounts in the event of a breach of these terms or of applicable law. On termination, earned, approved commission is settled according to the rules in sections 4 and 5, and a store's balance is settled according to section 6.

10.Liability

We strive for high uptime and correct registration but cannot guarantee that the service is error-free or uninterrupted. We are not liable for indirect loss, including loss of profit, and our total liability is limited to the amount paid in network fees in the last 12 months. Nothing in these terms limits liability that cannot be excluded under Danish law.

11.Changes

We may change these terms with reasonable notice by email or via the dashboard. Continued use after the changes take effect constitutes acceptance. Material changes to a program's terms never affect clicks that have already been registered, cf. section 3.

12.Governing law and disputes

These terms are governed by Danish law. Disputes are to be resolved through negotiation where possible and may otherwise be brought before the Danish courts.

13.Contact

Questions about the terms should be sent to info@affilyflow.com.
